Terms of Service

1. The Service

HOA RIGHT AWAY provides web-based management tools for community associations (HOAs, condominiums, and residential trusts), including dues collection, payment tracking, violation management, maintenance work orders, architectural review requests, amenity reservations, voting, meeting minutes, and community announcements. Each community association operates an independent portal instance and manages user access rights.

2. User Accounts & Authorization

Portal account access is provisioned by or on behalf of the client community association. You are responsible for maintaining the confidentiality of your credentials and for all activities occurring under your account. You must notify us immediately of any unauthorized account access or security breach.

3. Acceptable Use Policy

When using our platform, you agree that you will not:

• Provide false, inaccurate, or misleading property or identity information.
• Post or transmit unlawful, defamatory, harassing, abusive, or infringing content.
• Attempt to gain unauthorized access to other user accounts, property ledgers, or non-public system sectors.
• Interfere with, reverse engineer, disrupt, or bypass security or access controls of the service.
• Use automated scrapers, bots, or data extraction scripts on the platform.

4. Payment Processing & Fees

Online assessment payments, dues, fines, and transaction fees are processed directly by Stripe, Inc. Financial assessments, dues schedules, convenience fees, late charges, and refund policies are established exclusively by your community association. HOA RIGHT AWAY LLC is not responsible for setting dues amounts or managing refund disputes.

5. Single Sign-On (SSO) Integration

You may authenticate into the platform using third-party identity providers such as Google or Facebook. Use of those services is governed by their respective terms and privacy policies. HOA RIGHT AWAY LLC is not responsible for the availability or security of third-party authentication services.

6. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.

7. Limitation of Liability

IN NO EVENT SHALL HOA RIGHT AWAY LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL) ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING UNDER OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF ONE HUNDRED US DOLLARS ($100.00) OR THE TOTAL AMOUNT PAID BY YOU TO HOA RIGHT AWAY LLC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8. Indemnification

You agree to defend, indemnify, and hold harmless HOA RIGHT AWAY LLC and its officers, directors, and employees from and against any claims, liabilities, damages, judgments, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your violation of these Terms or misuse of the service.

9. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Missouri, without giving effect to any conflict of laws principles. Any legal action or proceeding arising under or relating to these Terms shall be brought exclusively in the state courts located in Lincoln County, Missouri, or the United States District Court for the Eastern District of Missouri, and you irrevocably consent to the personal jurisdiction and venue therein.

10. Modifications & Termination

We reserve the right to modify these Terms at any time by posting the revised version on this website. Continued use of the platform following any modifications constitutes acceptance of the updated Terms. We reserve the right to suspend or terminate account access for violations of these Terms.
